1. Acceptance of terms

By creating an account or using GrantFlow (“the Service”), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service. The Service is operated by GrantFlow, Lda (“we”, “us”, “our”).

2. Description of service

GrantFlow is a web application that enables research teams to manage grant project budgets, allocate researcher effort across work packages, and generate compliant timesheets and budget exports. The Service is intended for professional use by universities, SMEs, research institutes, and other organisations participating in funded research projects.

3. Accounts and registration

• You must provide a valid email address to create an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must not share your account with others or allow others to access the Service through your credentials.
• You must notify us immediately at simaoferreirato@gmail.com if you suspect unauthorised access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Free tier and paid plans

GrantFlow offers a free tier that allows the creation of up to 1 active project. Paid plans providing additional capacity are available as described on our pricing page.

Paid plans are billed on a monthly or annual basis. Prices are shown in euros and are exclusive of any applicable taxes. Annual plans are non-refundable after the first 14 days. Monthly plans may be cancelled at any time, effective at the end of the current billing period.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorised access to the Service or its infrastructure.
• Scrape, reverse-engineer, or copy any part of the Service without our written consent.
• Use the Service to store or process data in a way that infringes the rights of any third party.

6. Your data

You retain full ownership of all data you enter into GrantFlow, including project data, researcher information, and uploaded files. You grant us a limited licence to store and process your data solely for the purpose of providing the Service.

You are responsible for ensuring you have the legal right to enter personal data belonging to third parties (such as researcher names and salary information) into the Service, and for complying with applicable data protection laws in doing so.

Our handling of your data is governed by our Privacy Policy.

7. Intellectual property

All intellectual property rights in the Service, including its code, design, and content, are owned by or licensed to us. Nothing in these Terms grants you any rights in the Service other than the limited right to use it as described herein.

8. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or suitable for any particular purpose.

GrantFlow is a tool to assist with grant administration. It does not constitute legal, financial, or compliance advice. You are solely responsible for verifying that outputs (budgets, timesheets, exports) meet the requirements of your specific funding programme and grant agreement.

9. Limitation of liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

10. Service availability and changes

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will make reasonable efforts to notify users of material changes in advance. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Termination

You may delete your account at any time. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. Data deletion upon account closure is governed by our Privacy Policy.

12. Governing law and jurisdiction

These Terms are governed by the laws of Portugal. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Portugal, without prejudice to your rights as a consumer under applicable EU law.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the application at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
